Terms of Sale

1. Purpose and seller
These Terms of Sale govern the sale of the "Pro" subscription and the "lifetime" one-time purchase for the CodeAgentsOrchestrator application, sold by Charley Cerdan, sole trader, 5 rue du Vercors, 26300 Bésayes, France (SIRET 883 304 743 00023), referred to as "the seller". Placing an order means you accept these Terms in full. These Terms are governed by French law; the French version is authoritative in case of discrepancy.
2. Service description
CodeAgentsOrchestrator is a desktop application (macOS, Windows, Linux) for running multiple AI coding agents in parallel. Access to the app requires an active account on code-agents-orchestrator.app and a valid subscription or lifetime purchase.
3. Price
Prices are shown in euros, all taxes included:
- Monthly subscription: €3.00 / month
- Annual subscription: €32.40 / year
- "Lifetime" access: €59.00 (one-time payment) — a launch offer available until 31 December 2026 or until a batch of 200 licences is sold out. While the offer is displayed on the pricing page, licences are available.
The seller may change prices; the price applicable to an order is the one in effect when it is placed. For ongoing subscriptions, any increase is notified by email at least 30 days before it takes effect and applies only from the next billing date; you may cancel before then.
4. Payment
Payment is made by card via Stripe, a secure payment processor. The seller never has access to your card details. For subscriptions, payment is charged automatically at each billing period (monthly or annual) until canceled.
5. Duration, renewal and cancellation
Free trial. A 7-day free trial is offered on the monthly and annual subscriptions, once per account; it does not apply to lifetime access. A payment card is required at sign-up, but nothing is charged during the trial. If you do not cancel before the 7 days end, the subscription continues and the first payment is charged automatically at the price shown when you ordered. Cancelling before the trial ends costs nothing.
Monthly and annual subscriptions run for an indefinite term and renew automatically at each billing period. You can cancel at any time from your account page (billing portal); cancellation takes effect at the end of the period already paid for, with no pro-rata refund. Lifetime access is a one-time purchase with no renewal or recurring charges.
6. Right of withdrawal
Under French consumer law (Code de la consommation, art. L221-28), the standard 14-day withdrawal right does not apply to digital content not supplied on a physical medium once performance has begun with the consumer's prior express agreement and acknowledgement that they thereby lose their right of withdrawal. By subscribing or purchasing lifetime access, you expressly request immediate performance (immediate activation of your account and access) and acknowledge that you waive your right of withdrawal from that point on.
7. Liability
The service is provided "as is". The seller is not liable for indirect damages resulting from use, or inability to use, the application. Code, diffs and conversations generated locally by the user remain the user's sole responsibility.

9. Governing law and disputes
These Terms are governed by French law. In case of a dispute, consumers may use a consumer mediator free of charge, or the EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr. Failing an amicable resolution, French courts have exclusive jurisdiction.
